This document lays out Terms and Conditions for Internet Banking which are applicable to all existing accounts and accounts that will be registered successfully on Neo for Business with Axis Bank any time in the future. Internet Banking
T&Cs is a contract between User (as defined below) and Bank.
In this document the following words and phrases have the meaning set opposite to them unless the context indicates otherwise.
- “Bank” refers to Axis Bank Limited, a banking company incorporated in India under the Companies Act, 1956 and having its Registered Office at "TRISHUL", Third Floor, Opp. Samartheshwar Temple, Nr. Law Garden, Ellisbridge,
Ahmedabad - 380 006, Gujarat, India, including any branch / office thereof. The term includes the successors and assigns of the Axis Bank Limited.
- “Axis Bank Internet Banking” is the Bank's Internet Service, offering the following facilities to the User: Balance enquiry, statement of account, request for issue of cheque book*, Integrated invoicing, inventory management,
Reports, Sales and Purchase modules, Payroll Management*, Tax Payments* and other facilities as the Bank may decide to provide from time to time.
* Applicable as and when these facilities are introduced by the Bank
- “User” refers to any person/s who is/are either an account holder or sole signatory or authorised to act when there are more than one signatories and/or has been authorised by the Bank to avail the Internet Banking Service
provided by the Bank.
“Account” refers to the User's and/or Current Account and/or Fixed Deposit and/or Cash Credit Account* and/or Depository Account and/or any other type of account so designated by the Bank
to be covered under the Axis Bank Internet Banking facility.
* Applicable as and when these facilities are introduced by the Bank
- “Terms” refer to terms and conditions for use of Axis Bank Internet Banking as detailed in this document.
- “Customer" or ‘Client” or “Company” shall mean the person / entity availing of the Internet Banking Services Services under these Terms and Conditions. "Internet Banking Services" or "Services" wherever
used in these Terms and Conditions shall mean services offered by Axis Bank to its Customers under these Terms and Conditions including fund transfer / payment services (NEFT / RTGS / IMPS Facility), cheque* / demand draft* / pay
order facility*, Statutory & Tax Payments*, Trade & Foreign Exchange Services*, Non- financial services* (Cheque Book, DD, PAN Update etc.) and any other services being made available from time to time, and shall also
include all modifications of such services as Axis Bank may make from time to time. * Applicable as and when these facilities are introduced by the Bank
- "Instructions(s)" shall mean and include all communications made or instructions given by the Customer to Axis Bank by following the Security Procedure for carrying out activities covered under the Services, including any payment instructions
for making a remittance or transfer of funds.
- “OTP” shall mean a one-time password / one-time personal Identification number.
- "RBI" shall mean The Reserve Bank of India.
- “NPCI” shall mean National Payments Corporation of India.
- "Regulations" or "Guidelines" shall mean all rules, regulations and / or guidelines issued by the RBI, NPCI or any other governmental or statutory authority from time to time in relation to the Services.
- "Security Procedure" means such procedure prescribed by Axis Bank, from time to time, for the purpose of processing or verifying that an Instruction or a communication amending or cancelling an Instruction is that of the Customer or
for detecting error in the transmission for the content of the Instruction.
- "Terms and Conditions" shall mean these Terms and Conditions as may be modified and supplemented, as set out herein.
- "Users" shall mean the representatives of the Customer who have the rights to access the Accounts of the Customer through the Internet banking and shall include both Users with viewing rights and Users having inputting, uploading,
and verification, confirmation and/or authorization rights. Where such authorization rights are given by the Customer on a joint basis, then this term shall mean such joint Users with authorization rights, as the context or meaning
may require.
- "Website / Site" shall mean the web-site www.axisbank.com or such other web-site as may be notified by Axis Bank from time to time.
- “GST” shall mean any tax or cess or both imposed on the supply of goods or services or both under GST Laws.
- “GSTIN” shall mean Goods and Services Tax Identification Number
- “GSTN” shall mean Goods and Services Tax Network.
- “GST Laws” shall mean IGST Act 2017, CGST Act 2017, UTGST Act 2017 and State specific SGST Acts, 2017 and all relevant rules, regulations, notifications and circulars issued under the respective legislations.
- “Know Your Customer” or “KYC” shall mean the various norms, orders, rules, regulations, laws, and statutes as per applicable laws, including the RBI Guidelines issued from time to time according to which Neo
for Business procure personal identification details from the User desiring to access/use the Neo for Business Platform.
- “RBI Guidelines” refers to the extant rules, regulations, orders, directions, notifications and guidelines issued by RBI, including but not limited to - the Payment & Settlement Systems Act, 2007, RBI Directions for
Neo for Business and operation of accounts and settlement of payments for electronic payment transactions involving intermediaries dated November 24, 2009, the Guidelines on Regulation of Payment Aggregators and Payment Gateways
dated March 17, 2020 and the Master Directions for Know Your Customer (KYC), 2016, as amended from time to time.
“Service(s)” means and includes the following services provided by Neo for Business to the User at the request of the User:
- Online Business Account for payments and collections;
- Payment Gateway
- Automated Accounting;
- Multi-Account Connect;*
- Tax Filing;*
- QR Cards*
- Visa Co-branded Cards;*
- Business Loans;*
- Apps - Neo for Business Tally+,* Neo for Business Store,* Neo for Business Class,* Neo for Business Circle,* Neo for Business Hub,* Neo for Business Payroll etc.;* and/or
- Includes any other products/services offered by Us, from time to time.
“[* Applicable as and when these facilities are introduced by the Bank.]”
- “Service Provider” refers to “Neo for Business” facility provider, whose facilities or services are utilized in the provision of the Services.
- “Transaction” means a payment instruction that results in the successful transfer of funds (a) from a User to a Payee; or (b) from a Payer to a User, as the context requires.
- “User”, “You”, “Your” and “Yourself”, as the context requires, refers to and include any natural person or legal person (sole proprietor, partnership firm, company, LLPs, trusts, societies
or HUFs) that registers on the Neo for Business Platform and/or transacts or avails Services. The term ‘User’ shall also include such personnel of the User (including but not limited to any current or former officers,
directors or employees of the User) who access the Neo for Business Platform using the User Account credentials with either full rights or limited rights, as the case may be
Part 1- Application for Axis Bank Internet Banking
Applicability of terms
These terms form the contract between the User and the Bank. By applying for Axis Bank Internet Banking and accessing the service, the user acknowledges and accepts these terms. These terms will be in addition and not in derogation
of the terms and conditions relating to any account of the User.
Axis Bank Internet Banking will be available to the customers upon successfully registration on Neo for Business using current account with the bank, without requiring completion of any formalities for activation of such service, provided
the Primary Applicant's mobile no. is shared in section D (Address Details). The User would need to be a current legal Internet user or have access to the Internet and knowledge of working of the internet. However, at any point
of time the Bank may restrict Axis Bank Internet Banking facility to certain customers at its discretion. An existing bank customer who is not registered for Internet Banking may fill up the registration form for Axis Bank Internet
Banking and submit it at any of the Bank’s branches. Upon receipt of request in the Bank's prescribed form and subject to the satisfaction of the eligibility criteria notified by the Bank, from time to time, access shall
be provided by the Bank at its discretion through Axis Bank Internet Banking. The User shall not attempt or permit others to attempt accessing the account information stored in the Bank's computers which does not relate to his
or her account through any means other than Axis Bank Internet Banking or for illegal and improper purposes which if done and proved so, will be liable for action under the appropriate law and withdrawal of the facility enjoyed.
Instructions
All instructions for operating the Axis Bank Internet Banking facility shall be given to the User by Internet in the manner indicated by the Bank. The User is also responsible for the accuracy and authenticity of the instructions so
provided to the Bank and the same shall be considered to be sufficient to operate the Axis Bank Internet Banking facility. The Bank shall not be required to independently verify the instructions and the instruction once given is
effective unless countermanded by further instructions within a short span of time. The Bank shall have no liability if it does not or is unable to stop or prevent the implementation of the initial instructions. If the Bank considers
the instructions to be inconsistent or contradictory, it may seek clarification from the User or may act upon any instructions as it may think fit.
- All Instructions received from the Customer by Axis Bank shall be processed as per the TATs defined by the bank associated with the respective instructions. An Instruction will only be accepted by Axis Bank if it has been transmitted
to Axis Bank in the manner mentioned in these Terms and Conditions, by using the Security Procedure prescribed hereunder. Axis Bank may, in its absolute discretion but without being under any obligation, make further checks as
to the authenticity of an Instruction.
- The Customer is solely responsible for the accuracy and authenticity of the Instructions provided to Axis Bank and will be bound by any and all Instructions given and/or transactions carried out by any User authorized by it. Axis Bank
shall be entitled to rely upon all Instructions given by the Customer and act on such Instructions. The Customer acknowledges and agrees that in the event of any inaccuracy in any information and/or Instruction, there could be
consequent erroneous transfers. All such Instructions shall be final and binding on the Customer. In the event of any dispute on the actual Instructions given to Axis Bank, the records of Axis Bank would be final and binding on
the Customer.
- An Instruction shall remain effective till such time the same is countermanded by further instructions by the Customer or effectuated by Axis Bank. If the Customer notices an error in the information supplied to Axis Bank in any communication,
it shall immediately notify Axis Bank, and Axis Bank will endeavour to rectify the error wherever possible on a "reasonable efforts" basis. In the event of Customer's account receiving an incorrect credit by reason of a mistake
committed by any other person, the Customer authorizes Axis Bank to reverse the incorrect credit at any time whatsoever. The Customer shall be liable and continue to remain liable to Axis Bank for any unfair or unjust gain obtained
as a result of the same.
- If Axis Bank is of the opinion that (i) an Instruction received by it may not have been properly authorized by the Customer; or (ii) is conflicting, inconsistent, unclear, incomplete, deficient, contrary to any law or policy, or (iii)
Axis Bank has reason to believe that the Instruction is issued to carry out an unlawful transaction; or (iv) the Instruction is attached with notice of any special circumstances, (v) the account has insufficient funds or non-availability
of clear funds; Axis Bank may, (without being bound to do so) seek clarification from the Customer before acting on any such Instruction or act or refuse to act upon any such Instruction in the manner as it deems fit. Axis Bank
will not be responsible or liable for any loss to the Customer or any third party that results from the carrying out or refusal to carry out any Instructions or from any delay in effecting any Instructions in the above circumstances.
- Axis Bank shall not be responsible for any delay in carrying on the Instructions due to any reason whatsoever, including due to any circumstances beyond its reasonable control or any requirement of law or on account of any shortcoming
by any third party, vendor, and/or partner, howsoever caused.
- If any Instruction cannot be given effect unless it is affected by requisite documentation, Axis Bank shall not be required to act on such Instruction until it receives such documentation.
- Axis Bank shall not be liable for any consequences arising out of its failure to carry out the instructions due to inadequacy of funds and/or due any order, guideline or directive received from any governmental body or statutory authority
- Transaction processing rules and limits will be created in Internet Banking channel as per the instructions provided by the Customer. The responsibility of initiation and approval of transaction on Internet Banking lies with the Customer
and Axis Bank shall not be held liable for any unforeseen consequences which if occurred due to misuse/unauthorised use of facility or compromise of access credentials by users.
- In case of any instruction relating to any foreign currency transaction made by the Customer, the exchange rates quoted by Axis Bank, if any (whether through its Website or otherwise), shall only be provisional and shall be subject
to future variations in the exchange rate. The rate at which the transaction is given effect to would be the effective rate for all intents and purposes. Any Instructions given by the Customer should not contravene the provisions
of the applicable law including, without limitation, the Regulations, various regulations framed under Foreign Exchange Management Act, 1999, and other rules and regulations laid down by Reserve Bank of India, or any other governmental
body or statutory authority*. *Applicable as and when these services are introduced by the bank on this platform
- Axis Bank may, classify/mark/categorise any Customer/User/User ID as “Dormant User”, If the Customer/User has not logged into Axis Neo for Business, through the registered User ID, for a continuous period of 365 (Three
hundred sixty five ) [calendar days] from the date such Customer/User last logged-in through the designated platform for accessing Internet Banking Services by using the registered User ID. Pursuant to such classification/marking/categorising
of any Customer/User/User ID as ‘Disabled User”, such Customer/User will be unable to access any Axis Neo for Business Services from the relevant registered User ID without re-activation of such Dormant/Disable User
ID in Axis Neo for Business platform. In order to re-activate a Dormant/Disable User ID, the relevant Customer (through an Authorised signatory)/User can click on enable ID tab and complete the verification and successful authentication
of user ID details user can generate a new password that can be used for login. In case any Users account classified/marked/categorized as dormant due to any reason such Users are not allowed to access Neo for Business Platform.
Services
- Subject to these Terms and Conditions, applicable laws, and other Terms and Conditions as may be specified on Axis Bank's Website, Axis Bank shall provide the Services to the Customer. Axis Bank shall be entitled to modify, upgrade
and/or suspend the Services, or the mode manner and extent of the Services from time to time, and shall endeavour to inform the Customer of such change in Services. Axis Bank reserves the right to suspend all or any of the Services
provided to the Customer without being required to provide any prior notice and without assigning any reason therefore.
- For availing of, or ceasing to avail of the Services, or any part thereof, the Customer shall make a separate application to Axis Bank in the prescribed format and the Customer shall be governed by such additional Terms and Conditions
as prescribed by Axis Bank for this purpose, as well as subject to the applicable laws.
- Axis Bank may, at the request of the Customer, extend the Services to any other existing/new Accounts, and these Terms and Conditions shall automatically apply to such further use of the Services by the Customer.
- Customer hereby accept and acknowledge that, the intellectual property rights covered in the Services and also developed/generated during the provision of Services by the Bank, shall continue to be owned and vest with the Bank solely
and this Terms & Conditions does not in any way confer any right on the Customer for the Ownership or use of the intellectual property rights.
Software
The Bank will advise from time to time the Internet softwares, such as browsers which are required for using Axis Bank Internet Banking. There will be no obligation on the Bank to support all the versions of these Internet softwares.
The User shall upgrade his software, hardware and the operating systems at his cost from time to time and the Bank shall be under no obligation to support the software, hardware and operating systems of the User and that the same
shall be the sole responsibility of the User.
Security
The Bank shall take reasonable care to ensure the security of and prevent unauthorised access to the Axis Bank Internet Banking Service using technology reasonably available to the Bank.
- The Customer shall, at its own risk and consequences, access the Services by following the Security Procedure prescribed by Axis Bank from time to time, including use of (i) user-ID and password(s) (ii) **One touch devices for accessing
Internet Banking Services. In addition, Axis Bank may advise the Customer to adopt such other Security Procedure and means of authentication as Axis Bank may require, and the Customer agrees to abide by such security procedure.
**As and when the services are introduced by the bank for this platform
- The Customer and the Users authorized by the Customer shall keep all User IDs and passwords, OTPs, including the passwords, confidential and well protected and should not reveal the same to any unauthorized person, including to any
employees and representatives, vendors, partners of Axis Bank. Axis Bank shall in no way be held responsible, if the Customer incurs any loss as a result of the password being disclosed by the Customer or User to any third parties.
- Customer will be given access to Internet Banking channel through mandatory 2 Factor Authentication (2FA) provided by the bank. Axis Bank may provide 2 FA through SMS, One touch devices or any such ways as part of its product offering
from time to time. Customers shall ensure that each User shall be responsible for the security of his 2 FA.
- Customers will mandatorily require to use this 2 FA while accessing or approving of transactions and requests in Internet Banking channel.
- Users will be responsible for the safe custody of their mobile devices or One Touch devices (also known as Hard Token) and bound by, any and all instructions given and/or transactions carried out by the members of its organization
by using the 2FA. Axis Bank shall be entitled to presume as genuine all Instructions given by using the Security Procedure.
- Any loss or theft or misplacement or damage to the mobile devices which may lead to compromise of 2 FA should be reported to the Bank immediately for necessary prevention to restrict misuse of the User’s Internet Banking access.
- Axis Bank shall endeavour to adopt appropriate security measures as available in the industry from time to time. However, the Customer acknowledges that the technology used including the Internet, as well as the use of public / shared
facilities is susceptible to a number of risks, such as misuse, hacking, virus, malicious, destructive or corrupting code, programme or macro which could affect the Services. Axis Bank will not be responsible for any loss, delays
or failures in the processing of instructions, reporting and/or receipt generation on account of such risks.
Data, Audit & Security
- The Customer and the Users authorized by the Customer shall keep all User IDs and passwords, OTPs, including the passwords, confidential and well protected and should not reveal the same to any unauthorized person, including to any
employees and representatives, vendors, partners of Axis Bank. Axis Bank shall in no way be held responsible, if the Customer incurs any loss as a result of the password being disclosed by the Customer or User to any third parties.
- Customer will be given access to Axis Neo for Business through mandatory 2 Factor Authentication (2FA) provided by the bank. Axis Bank may provide 2 FA through SMS, or any such ways as part of its product offering from time to time.
Customers shall ensure that each User shall be responsible for the security of his 2 FA. Customers will mandatorily require to use this 2 FA while accessing or approving of transactions and requests in Axis Neo for Business Platform.
- Users will be responsible for the safe custody of their mobile devices or One Touch devices (also known as Hard Token) and bound by, any and all instructions given and/or transactions carried out by the members of its organization
by using the 2FA. Axis Bank shall be entitled to presume as genuine all Instructions given by using the Security Procedure.

Platform access.
- Axis Bank shall endeavour to adopt appropriate security measures as available in the industry from time to time. However, the Customer acknowledges that the technology used including the Internet, as well as the use of public / shared
facilities is susceptible to a number of risks, such as misuse, hacking, virus, malicious, destructive or corrupting code, programme or macro which could affect the Services. Axis Bank will not be responsible for any loss, delays
or failures in the processing of instructions, reporting and/or receipt generation on account of such risks.
- The User and Neo for Business each represents and covenants to the other that(a) it will adhere to the data security protocols prescribed under the RBI Guidelines, including the procedures for incident management and reporting; and
(b) its systems and infrastructure are compliant with the Payment Card Industry-Data Security Standard (“PCI-DSS”). The User further represents and covenants to Neo for Business that its systems and infrastructure are
compliant with the Payment Application-Data Security Standard (“PA-DSS”), as applicable.*

Password
The User accepts and unconditionally agrees to the following:
- Upon approval of the Account-Holder's application, the customer will be allotted a Login ID and password will be generated on the platform for Axis Neo for Business platform.
- The Password cannot consist of all the character as in your username/personalised login ID and Customer Id.
- Password should mandatorily contain combination of digits, special character and at least 1 capital character.
- Special characters are allowed in password are .!@$%^&*-+{}’|/-
- Spaces are not allowed in between the password.
- The password should contain a minimum of 8 character and maximum of 30 characters.
- Your password can not be the same of your last 5 passwords.
- The User is liberal to change the Password as many times as they want at their risk and consequences. The User will be solely responsible for maintaining secrecy of the Password, so changed, and the Bank in no way shall be responsible
for the misuse of the said Password by any person other than the authorised User.
- The Bank does not assume any responsibility on this behalf including against loss incurred by the User as a result of misuse/unauthorised use of User ID/Password.
- In case the User forgets the Password, a new Password may be created using the “Forgot Password” functionality provided on the platform.
Security Answers
The User accepts and unconditionally agrees to the following:
The customer sets answer to the security questions to enhance security of Internet Banking login.
The User is liberal to change the answers as many times as they want but at their risk and consequences by placing a request at the branch. The User will be solely responsible to maintain secrecy of the answers so changed and the Bank
in no way shall be responsible for the misuse of the said answers by any person other than the authorized User. The customer undertakes that security answers shall be kept away from third parties and shall not save his / her login
password, security answers and transaction password in a recognizable form including the username or on any other item carried along with the internet services. If they let any other person have knowledge of their Security Question/Answer,
they are liable for all claims, losses and consequences arising from or in connection with all transactions made using the Service by or with the consent of that person. The Bank does not assume any responsibility on this behalf
including against loss incurred by the User as a result of misuse / unauthorized use of these details. In case the User forgets the answers, branch can be contacted for resetting them.
Charges
The Bank reserves the right to charge and recover from the User any fixed charges for providing any service under Axis Bank Internet Banking facility. The User hereby authorises the Bank to recover the service charges by debiting one
of the accounts of the User or by sending a bill to the User who will be liable to make the payment within a specified period. Failure to do so shall result in recovery of the service charges by the Bank in a manner deemed fit
along with interest, if any, and/or withdrawal of Axis Bank Internet Banking facility without any liability to the Bank.
- The Customer hereby agrees to bear all the charges applicable to the Services as may be stipulated by the Axis Bank from time to time (shall be exclusive of all applicable taxes including Goods and Service Tax (GST) and the same will
have to be borne by the Customer/Accountholder), or rates/charges agreed from time to time for availing of the Services and intimated to the Customer through the Website or through any other medium, as Axis Bank may deem fit. Axis
Bank is authorized to debit such charges to the Customer's Accounts.
- The Bank hereby also agrees and undertakes as follows:
(i) The invoice (if any) raised by the Bank shall bear the GSTIN of the Customer as and if provided by the Customer;
(ii) The Bank shall upload the details of the invoices (if any) on the GSTN common portal in the prescribed form
for supply made to the Customer; and
(iii) The Bank shall pay the applicable GST on the supply made to the Customer and file the GST returns as prescribed under GST Laws within the statutory time limit.
Mailing Address
All correspondence/delivery of any instructions or their communication by the Bank shall only be made at the normal postal address and/or e-mail address as registered with the Bank. The Bank shall in no way be held responsible for
any non-receipt of the same. If in case, Customer’s e-mail address not registered with the Bank at the time of account Neo for Business, then the Customer can update their e-mail address on Neo for Business platform and the
same will be used to send any communication triggered from the Neo for Business platform.
Services Available on Internet Banking
Internet Banking will be provided to users with certain default facilities that do not require second factor authentication *) as detailed out in Annexure I. To avail all the facilities of Internet Banking a user has to register for
Netsecure* (second factor authentication) online by logging into internet banking. The facilities available with and without Netsecure* are detailed out in Annexure I.
*As and when introduced by the bank
Authority to the Bank
- Axis Bank Internet Banking transactions in the User's Account(s) are permitted only after authentication of the User ID and Password of the User. The User (along with the joint account holder, if any) grants express authority to the
Bank for carrying out the banking transactions performed by him through Axis Bank Internet Banking. The Bank shall have no obligation to verify the authenticity of any transaction received from the User through Axis Bank Internet
Banking or purporting to have been sent by the User via Axis Bank Internet Banking other than the means of verification of the User-ID and the Password. Illegal or improper use of the Axis Bank Internet Banking facility shall render
the User liable for payment of financial charges as decided by the Bank or will result in the suspension of the operations through Axis Bank Internet Banking.
- The display or printed output that is produced by the User at the time of operation of Axis Bank Internet Banking is a record of the operations of the Internet and shall not be construed as the Bank’s record of relative transactions.
The Bank's own record of transactions maintained through computer systems or otherwise shall be accepted as conclusive and binding for all purposes unless any discrepancy is pointed out within one week from the date of access of
their account by the User or from the date of sending the periodical statement to the User, whichever is earlier.
Accuracy of Information
- The User is responsible for the correctness of information supplied to the Bank through the use of Axis Bank Internet Banking or through any other means such as electronic mail or written communication. The Bank accepts no liability
for the consequence arising out of erroneous information supplied by the User. The User shall at periodic intervals check the correctness of the statement and shall notify the Bank about any discrepancies that may occur.
- All outputs of statements are duplicate statements of account and will be prepared by electronic means and the information contained therein will be extracted from a computerized Back up system maintained by the Bank. While the Bank
will take all reasonable steps to ensure the accuracy of the statement, the Bank is NOT liable for any errors. The User shall hold the Bank harmless against any loss, damages, etc. that may be incurred/suffered by the User if the
information contained in the above said outputs turns out to be inaccurate/incorrect.
Liability of the User
The User alone shall be liable for any loss from unauthorized transactions in the Axis Bank Internet Banking accounts if he has breached the terms or contributed or caused the loss by negligent actions such as the following:
- Keeping a written or electronic record of Axis Bank Internet Banking Password
- Disclosing or failing to take all reasonable steps to prevent disclosure of the Axis Bank Internet Banking Password to anyone including any minor, Bank staff and/or failing to advise the Bank of such disclosure within reasonable time.
- Not advising the Bank in a reasonable time about unauthorized access to or erroneous transactions in the Axis Bank Internet Banking accounts.
- The Bank shall in no circumstances be held liable by the User if Axis Bank Internet Banking access is not available in the desired manner for reasons including but not limited to natural calamity, floods, fire and other natural disasters
of any kind, legal restraints, faults in the telecommunication network or Internet or network failure, power breakdown or UPS breakdown, software or hardware failure and/or error or any other reason beyond the reasonable control
of the Bank. The Bank shall in no way be liable for any loss or damage that may occur due to hacking of the account by any person other than the User, which fits in the definitions of a 'Cyber Related Crime' as accepted internationally.
The Bank shall under no circumstances shall be liable for any damages whatsoever whether such damages are direct, indirect, incidental, consequential and irrespective of whether any claim is based on loss of revenue, investment,
production, goodwill, profit, interruption of business or any other loss of any character or nature whatsoever and whether sustained by the User or any other person.
- In processing Transactions, Axis bank shall be entitled to rely upon all electronic communications, orders or messages sent to Axis bank through the Service Providers including and to the extent this is in compliance with the processing
mechanism of the Service Providers and any applicable laws and the RBI Guidelines. Axis bank shall not be obligated to verify or make further inquiry into the identity of the sender, or the message integrity, of any communications,
orders or messages.
- Axis bank will endeavour to ensure that access to and availability of the Services remains uninterrupted and error free. However, access to the application may occasionally be suspended or restricted to allow for repairs, maintenance,
or for the introduction of new facilities and Services and in such cases Axis bank shall not be liable for any disruption of any Services. We reserve the right to determine the timing and content of software updates, which may
be automatically downloaded and installed by an application without prior notice to the User anytime.
Disclaimer of Warranties
Except as warranted herein and in the Terms and Conditions, Axis Bank makes no other express or implied warranty with respect to the Services provided hereunder, and hereby expressly disclaims all warranties of any kind, whether express
or implied or statutory, including, but not limited to the implied warranties of uninterrupted, error-free, timely or secure performance of the Axis Bank Internet Banking systems/ Services, title, satisfactory quality, merchantability,
fitness for a particular purpose, data accuracy and completeness, and any warranties relating to non-infringement in Internet Banking or any transmission of information from Axis Bank to the Customer being virus free.
The Services are provided on an as-is-and-as-available basis. Axis bank expressly disclaims all warranties of any kind, whether express or implied, including, but not limited to, the implied warranties of merchantability and fitness
for a particular purpose. Axis bank makes no warranty that the Services will be uninterrupted, timely, secure, or error free. To the maximum extent permitted by law, the entire risk arising out of the User’s access of and
use of the Website and Services, remains with the User. A separate limitation over liability shall be applicable to each of the Services.
Indemnity
The User shall indemnify and hold the Bank harmless against all actions, claims, demands, proceedings, losses, damages, costs, charges and expenses whatsoever which the Bank may at any time incur, sustain, suffer or be put to as a
consequence of or by reason of arising out of providing Axis Bank Internet Banking facility or by reason of the Bank in good faith taking or refusing to take or omitting to take action on any instruction given by the User.
The Customer agrees that the Customer shall indemnify and hold Axis Bank, its officers, director, agents, vendors, partners, affiliates, employees and representatives harmless against all actions, claims, demands, proceedings, losses,
damages, costs, charges and expenses whatsoever which Axis Bank may at any time incur, sustain, suffer or be put to as a consequence of or by reason of or arising out of providing any of the Services or due to any negligence/mistake/misconduct
on the part of the Customer or breach or non-compliance by the Customer of any of the Terms and Conditions stipulated herein including applicable legislation and statutory guidelines relating to any of the Services or by reason
of Axis Bank in good faith taking or refusing to take action on any instruction given by the Customer.
The Customer agrees that the Customer shall indemnify and hold harmless Axis Bank, its officers, director, agents, vendors, partners, affiliates, employees and representatives against all actions, claims, demands, proceedings, losses,
damages, costs, charges and expenses whatsoever which Axis Bank may at any time incur, sustain, suffer or be put to as a consequence of or by reason of or arising out of any action taken against Axis Bank by any Government body,
Regulatory Authority or third party pursuant to any act by or omission of the Customer.
Internet Banking Records and Transaction Terms
- Axis Bank shall issue to the Customer a statement of Accounts through online / offline mode for verification at the Customer's end. The Customer shall within a period of 7 (seven) days from date of transaction report to Axis Bank any
discrepancy in the .The Customer agrees that it shall not be entitled to dispute the correctness of the execution of an Instruction or the amount debited to its Account if it fails to report the discrepancy within the aforesaid
period.
- All the records of Axis Bank generated by the transactions arising out of the Instructions, including the time the transaction recorded shall be conclusive proof of the genuineness and accuracy of the Instructions received by Axis
Bank and the consequent transaction
- The Customer agrees not to object to the admission of Axis Bank's records as evidence in any legal proceedings because such records are not originals, are not in writing or are documents produced by a computer.
- Axis Bank is permitted to utilize all information received by it from the Customer as evidence against the Customer before any competent Court of law or Judicial or Quasi-Judicial Authority or Tribunal or any other statutory or government
authority.
- All original documents along with applicable stamping (wherever applicable), shall be submitted to the concerned branch by the client within two working days from the date of initiation of transaction in the Trade portal services.
Disclosure of Personal Information
The User agrees that the Bank or its contractors may hold and process his Personal Information on computer or otherwise in connection with Axis Bank Internet Banking services as well as for statistical analysis and credit scoring.
The User also agrees that the Bank may disclose, in strict confidence, to other institutions, such personal information as may be reasonably necessary for reasons inclusive of, but not limited to, the following:
- For participation in any telecommunication or electronic clearing network.
- In compliance with the legal directive.
- For credit rating by recognized credit rating / scoring agencies.
- For fraud-prevention purposes.
The Customer hereby authorizes the use of confidential information of the Customer by Axis Bank and the transfer by Axis Bank of any information relating to the Customer to and between the branches, subsidiaries, representative offices,
affiliates, auditors, vendors, partners and agents of Axis Bank, wherever situated, for confidential use in connection with the provision of the Services to the Customer, and further acknowledges that any such branch, subsidiary,
representative office, affiliate, vendor, partner or agent shall be entitled to transfer any such information as required by any law, court, regulatory or legal process.
The Customer hereby also authorizes that WhatsApp message exchanges, as needed Axis Bank confirms that necessary consent from the customers will be taken allowing Axis bank to print their email ID / phone number on the invoices. Any
such email ID / phone number submitted to in the records of Axis Bank will be considered as business contact details and the Customer hereby provides explicit consent that the Customer does not have any objection for Axis Bank
mentioning the same on invoices / quotations / credit notes etc. that Axis Bank will be sending the same to its Customer/s from Axis Neo for Business platform.
Bank's Lien
Axis Bank shall have the banker's lien and right of set-off, on the deposits, funds or other property of the Client with Axis Bank, whether held in single name(s) or jointly with any person(s), to the extent of all outstanding dues,
whatsoever, arising as a result of or in connection with the Facility.
Proprietary Rights
- The User acknowledges that the software underlying the Axis Bank Internet Banking service as well as other Internet related software which are required for accessing Axis Bank Internet Banking are the legal property of the respective
vendors. The permission given by the Bank to access Axis Bank Internet Banking will not convey or confer any proprietary or ownership rights in the above software. The User shall in no way try to alter / tamper or experiment with
the said programme. Any breach on the part of the User will be dealt under the appropriate law and User shall be liable for damages that may be incurred by the Bank.
- The User shall not attempt to modify, translate, disassemble, decompile or reverse engineer the software underlying Axis Bank Internet Banking or create any derivative product based on the software.
- All copyrights, patents, trade secrets, trademarks, service marks, trade names, moral rights and other intellectual property and proprietary rights (“IPR”) in the Axis bank Platform and Services shall remain the sole and
exclusive property of Axis bank and its licensors, as applicable. The IPR may not be copied, reproduced, distributed, transmitted, broadcast, displayed, sold, licensed, uploaded, or otherwise exploited without the prior written
consent of Axis bank.
Change of Terms and conditions
The Bank has the absolute discretion to amend or supplement any of the terms at any time The Bank may introduce new services within Axis Bank Internet Banking from time to time. The existence and availability of the new functions will
be notified to the User as and when they become available. By using these new services, the User agrees to be bound by the terms and conditions as applicable and set forth from time to time on the website www.axisbank.com
Notwithstanding anything contained elsewhere in these Terms and Conditions, where Axis Bank decides to upgrade or modify the Services or provide new services to the Customers, such upgrades, modifications and new services shall be
subject to such Terms and Conditions as may be stipulated by Axis Bank, and Axis Bank shall amend or supplement any of these Terms and Conditions, at any time, if such amendment is required, which amendment shall be binding on
the Customer. Axis Bank shall endeavour to inform the Customer of such changes. Any modification in these Terms and Conditions will be updated/uploaded on the Website/Site for the Customers, shall be deemed to be notified to the
Customers.
Non-Transferability
The grant of the Services to a Customer is not transferable under any circumstance and shall be used only by the Customer. The Customer shall not assign its rights and/or obligations in relation to the Services or any part thereof
to any other person. Axis Bank may subcontract and employ agents to carry out any of its obligations in relation to the Services.
Notices
The Bank and the User may give notices under these Terms and Conditions:
- Electronically to the mailbox of either party. Such notices will be regarded as being in writing.
- In writing by delivering them by hand or by sending them by post to the last address given by the User and in the case of the Bank to the address mentioned below: Axis Bank Limited, ‘Axis House’,C-2, Wadia International
Centre, Pandurang Budhkar Marg, Worli, Mumbai - 400 025 In addition, the Bank may also publish notices of general nature, which are applicable to all the Users of Axis Bank Internet Banking on its web site. Such notices will have
the same effect as a notice served individually to each User and or that of a notice published in the newspaper of print media.
Governing Law
- The User may request for termination of the Axis Bank Internet Banking facility anytime by giving a written notice of at least 15 days to the Bank. The User will remain responsible for any transactions made on his Axis Bank Internet
Banking account(s) through Axis Bank Internet Banking prior to the time of such cancellation of Axis Bank Internet Banking facility.
- Any dispute or difference arising between the User and the Bank shall be settled by mutual consultation / discussion failing which, the same shall be referred to Arbitration. The Arbitration proceedings shall be governed and conducted
in accordance with the Indian Arbitration and Conciliation Act, 1998 and that the Arbitration proceedings shall take place in Mumbai.
- The Bank accepts no liability whatsoever, direct or indirect, for non-compliance or breach of the laws of any country other than the Republic of India. A mere fact that the Axis Bank Internet Banking service can be accessed through
Internet by the User in country other than India shall not be interpreted to imply that the laws of the said country shall govern these terms and conditions and/or the operations in the Axis Bank Internet Banking accounts of the
User and/or the use of Axis Bank Internet Banking. The User of the Axis Bank Internet Banking facility by a person from any place other than India will not alter the situation and the said User shall be deemed to have submitted
himself to the laws of the Republic of India
- The construction, validity and performance of the Services and these Terms and Conditions shall be governed in all respects by the laws of India. The parties hereby submit to the non-exclusive Jurisdiction of the Courts at Mumbai.
The customer shall demonstrate his knowledge and acceptance of the aforesaid Terms and Conditions by logging onto or otherwise accessing or using Axis Bank's Customer Internet Banking services. If the customer does not agree with
any of the terms or conditions as aforesaid, the customer should not use or attempt to use Axis Bank's Customer internet banking services in any other manner whatsoever including by logging onto the Website.
Termination of Axis Bank Internet Banking facility
- The User may request for termination of the Axis Bank Internet Banking facility anytime by giving a written notice of at least 15 days to the Bank. The User will remain responsible for any transactions made on his Axis Bank Internet
Banking account(s) through Axis Bank Internet Banking prior to the time of such cancellation of Axis Bank Internet Banking facility
- For subscription based facilities, once subscribed User cannot unsubscribe the facility and no refunds will be provided even if the User wants to terminate the Axis Bank’s internet banking facility. No auto-renewal on subscription
is available.
- The Bank may withdraw Axis Bank Internet Banking facility anytime provided the User is given reasonable notice under the circumstances
- The closure of all Axis Bank Internet Banking accounts by the User will automatically terminate the facility
- The Bank may suspend or terminate Axis Bank Internet Banking facilities without a prior notice if the User has committed breach of these terms and conditions or the Bank learns of the death, bankruptcy or legal incapacity of the User.Subject
to this Clause 15, Axis Bank reserves the right to discontinue all or any of the Services at any point of time with 30 days prior notice, save and except in circumstances where Axis Bank has discontinued all or any of the Services
as a consequence of the Customer committing any breach of the Terms and Conditions or if it learns of the death, bankruptcy or lack of legal capacity of the user.
- Closure of Accounts of the Customer will terminate the Service.
- The Customer is entitled to cancel the Services provided herein by giving a 30 days prior notice to the other party in this regard.
- Axis Bank shall not be liable for any damages, claims, losses, expenses of any nature whatsoever by reason of such termination or discontinuation of the Services.
General
The clause headings in this agreement are only for convenience and do not affect the meaning of the relative clause. The User shall not assign this agreement to anybody else. The Bank may subcontract and employ agents to carry out
any of its obligations under this contract.
Transaction Limits
Axis Bank may, from time to time, specify maximum and minimum transaction limits for its various services. The Customer shall be bound to comply with such limits imposed by Axis Bank.
Changes in Information
Any changes in the information provided by the Customer shall be communicated by the Customer to Axis Bank in the manner stipulated by Axis Bank, along with a Customer resolutions. The Customer shall be entitled to modify, add and/
or delete its list of Users from time to time, by giving a letter to this effect to Axis Bank, along with a Customer resolutions. Any such change shall be effective only after the Customer has been intimated of the implementation
of the changes by Axis Bank, and till such time Axis Bank shall continue to accept and carry out Instructions received from any of the representatives of the Customer whose names are mentioned in the list of Users then available
with Axis Bank.
Force Majeure
“Notwithstanding anything to the contrary in these Terms & Conditions, the Bank shall not in any event be liable for any failure or delay in the performance of its obligations hereunder if it is prevented from so performing
its obligations due to any Act of God, lightening, flood, drought, earthquake, landslide, hurricane, cyclone, typhoon, tornado, pandemic/epidemic, famine, extremely adverse weather conditions which are in excess of statistical
measures of last 100 years, fire, explosion, chemical or radioactive contamination, ionising radiation, volcanic eruption, riots or civil disturbance, war (whether declared or undeclared), act of public enimity, terrorist act,
military action, lockdown declared by government or regulatory order/notification, other action of government/other Authorities, court order, or industry-wide/ region-wide/ nation-wide strike, lockout, work-to-rule action, go slow
or similar labour action, general failure of electricity or other supply, technical failure, accidental or mechanical or electrical breakdown, computer/network failure or failure of any money transmission or payment gateway or
core banking system or any reason which is beyond the control of the Bank (Force Majeure Event). Bank may in it’s sole discretion continue with the Services, or suspend or terminate the Services and/or this Agreement with
no additional cost or liability to the Bank. In the event of suspension or termination of the Services and/or this Agreement by the Bank on account of a Force Majeure Event, Bank shall be entitled to receive the fees accrued for
the Services provided in accordance with this Agreement till the date of such suspension or termination”
MIS/Reports
Bank may at its sole discretion provide information including data, statements and reports to Client relating to these Facility/Facilities/Services via (a) electronic mail to an address designated by Client or (b) any other electronic
method including SMS. Client recognises that such information would be of a confidential nature and that the information may be intercepted, read, modified or altered by any person during such transmission and internet communications
cannot be guaranteed to be timely, secure, error or virus-free. The Bank does not accept liability for any delays, errors or omissions and shall bear no liability whatsoever for any direct, indirect or consequential loss arising
out of such information being sent over the internet whether caused by Bank or other third parties.
Third-Party Links
The Platform may refer to or may contain, links to third-party websites, applications, services and resources but it does not mean the we are endorsing such channels. We provide these links only as a convenience to the User to avail
certain services, the Bank makes no representation or warranty of any kind regarding the accuracy, reliability, effectiveness, or correctness of any aspect of any third-party services, and consequently, Bank is not responsible
for the content, products or services that are available from third-party services. The User is responsible for reading and understanding the terms and conditions and privacy policy that applies to the User’s use of any third-party
services, and the User acknowledge sole responsibility and assume all risk arising from User’s use of any third-party services.
Relationship
You understand and agree that nothing contained in these Terms shall be deemed or construed as creating a partnership or joint venture between the User and Neo for Business, or deemed to cause any party to be responsible in any way
for the debts and obligations of the other party.
Annexure 1 – Payments (extension to Above registration T&C)
Funds Transfer
The User shall not use or attempt to use the Axis Bank Internet Banking for funds transfer without sufficient funds in the relative account or without a pre-existing arrangement with the Bank for the grant of an overdraft. The Bank
will endeavour to effect such funds transfer transactions received through Axis Bank Internet Banking, provided there are sufficient funds available in the User’s account. The Bank shall not be liable for any omission to
make all or any of the payments or for late payments due to circumstances beyond the reasonable control of the Bank.
Bill Payments*
The User shall maintain sufficient funds for payment of bills on the scheduled date under the Bill Payment facility. The Bank shall not be liable for non-payment of the User’s bills due to insufficient balance or circumstances
beyond the reasonable control of the Bank including but not limited to any technical problems of network connectivity, computer breakdown, non-availability of communication links, system down-time/maintenance, payment systems issues,
etc.
The Bank shall in no way be liable or responsible in any manner whatsoever for the non-payment of the User's bills within the time stipulated or on scheduled date and the User alone shall be bound to pay or discharge the interest,
penalty or any such charges, if any incurred/suffered due to such non-payment. Further, the User shall indemnify the Bank in case of any loss, cost, expenses or charges suffered/incurred by the Bank including any third party claims
on account of such non-payment of User’s bills on time stipulated or on scheduled date and the User acknowledges that the shall not be called upon to indemnify the User in case of such scenarios.
All disputes such as excess billing, disconnection of service or facility, wrong credit or debit by the Bank, shall be resolved by the User only, and the Bank shall in no way be liable or responsible for the same in any manner whatsoever.

Bulk Payment Services
1. The Payment Platform Module is a web based Payment service offered by the Bank wherein the User can request the Bank to remit funds from the User’s account with the Bank to certain beneficiaries as may be stipulated by the
said User based on the data furnished (by uploading the files through internet) to the Bank by the said User.
2. The User can avail the service of Payment Platform Module for single upload facility across various products of the Bank upon the terms and conditions as may be stipulated by the Bank from time to time. The Bank has offered
web based Payment services i.e. Fund Transfer, IMPS, NEFT, RTGS, under the Payment Platform Module which can be availed by the User as per their requirement subject to availability of clear funds in the User’s account.
3. The User is required to upload the files through internet on the Payment Platform Module and the detailed Process Flow for upload process is enumerated below for the User. No deviation from the said process shall be permitted
and the User shall need to follow the same as is to avail Payment Service.
4. The User hereby authorizes the Bank to execute RTGS/NEFT/Fund Transfer/IMPS transactions on its behalf solely based on the basis of the data files uploaded by the User in accordance with the Process Flow enumerated below.
The User undertakes that it shall not hold the Bank liable or responsible in any manner whatsoever for any failure or delay due to any technical problems of network/internet connectivity, computer breakdown, non-availability of communication
links, system down-time/maintenance, payment systems issues, etc. provided that such failure is beyond the reasonable control of the Bank not owing to the gross and willful negligence of the Bank.
5. The User undertakes that the data files shall be uploaded by an authorized person and the User shall furnish a copy of the Board Resolution evidencing this authorization to the Bank. The signatures of the authorized person
will also be updated in the User’s accounts with the Bank, in case of all the relevant account constitution types.
6. No implied duties or obligations shall be read or deemed to be read into these terms and conditions against the Bank in any manner whatsoever. Apart from duty to offer Payment Service to remit funds basis the terms and
conditions contained herein, the Bank shall not be bound by any provisions of any agreement, arrangement or understanding executed between the User and/or the beneficiary.
7. The Bank shall act on good faith upon the User’s requests on the Payment Platform Module without going into the authenticity and/or validity and/or authorization of any such requests or the data file which are received
by the Bank on the Payment Platform Module and such requests or the data file shall be deemed to be authentic, valid and duly authorized by the User. The User hereby agrees that the User shall be irrevocably and unconditionally be
bound by the requests or data file provided by the User to the Bank through the Payment Platform Module by following the Process Flow enumerated below and the User shall not be entitled to dispute the authenticity, validity or authorization
of any such requests or data file appearing to have been uploaded in the Payment Platform Module by the User.
8. The User undertakes that the Payment Platform Module provided by the Bank shall be utilized for the specific purpose as determined by the Bank.
9. The User shall receive the details of the payment transactions executed by the Bank and it shall be the obligation of the User to cross check the same with the uploaded data file.
10. If online password generation and reset facility is availed, it is understood that the Bank will register this information given to send the passwords. Any change in the mobile no or email ID of any User will be intimated
to the bank in letter head, signed by authorized signatory as and when such change occurs (for relevant CA constitutions only, for others password can be reset using “Forgot Password” functionality on the platform). The
User will keep the Bank indemnified for actions of the Bank in the case of late submission of the information or in case of non-submission of the information to the Bank to change the registered information.
Process Flow for File uploads at Customer end.
1. The User can upload data from anywhere through the Internet by logging into NEO for Business and navigating to the Payment module for data uploading. The User will be provided with the login ID and password for accessing the Payment Module.
2. Data will be uploaded by the User directly on the Payment module in a predefined mutually agreed format. The client can upload the data through a single file.
3. Axis Bank admin will have the rights to define the Users and perform the master related activities. As per the requirement, the same rights can be provided to Users’ for performing the same activities independently
,provided necessary authority has been sought and required documents have been submitted to Bank*.

4. There will be a maker and checker concept for data upload and authorization for ensuring accuracy of the data at the User’s end. The responsibility of maintaining the maker and checker concept lies with the User
and Axis Bank shall not be held liable for any unforeseen consequences which if occurred due to misuse/unauthorised use of facility by maker or checker at User’s end.*

5. The User can authorize / reject the file/s as per prescribed authorization matrix. Authorization is done to check whether the logged-in User has the rights to upload the selected file.*

6. After the file is uploaded, first level system check will take place. Basic validations will be performed where the following points will be checked:
a. Within File Transaction Duplicity
b. Beneficiary Validation and Parameters on it
c. Fund Validation
d. IFSC Validation
e. Transaction Count per file
f. Presence of compulsory fields for making
payment
7. In case of rejection of a file due to any reason, the system will display the reasons of rejection on the front end which may be rectified by the User and the revised data may be uploaded again.
8. The authorized files will be processed by the Bank i.e. transactions pertaining to Fund Transfer will be executed seamlessly based upon the Beneficiary Account Number specified in the payment file and the NEFT/IFT/ IMPS*/RTGS*
will be executed seamlessly, if authorized by the User for the said payment modes.

ANNEXURE 2 - Virtual Account Collection T&Cs
Virtual Account Collection Declaration
The User hereby declares and confirms as follows:
1. We have read, understood, and hereby agree to the terms stated in the Terms and Conditions governing the Cash Management Services provided as Virtual Account Collection facility on www.axisbank.com and agree to abide by
the same.
2. We understand that the said terms are subject to revision from time to time and we agree to keep ourselves updated of such changes and be bound by the terms as are in force from time to time.
3. We hereby confirm that all information given to the Bank, is correct and accurate and want to have an exclusive cash management relationship with the Bank. If at any stage it is brought to the notice of the Bank that any
information submitted herein is suppressed/incorrect/false, or that it has been given with a view to wilfully mislead the Bank, the service offered under the Virtual Account Collection facility is liable to be rejected and the Bank
has right to terminate the said facility forthwith, without prejudice to the Bank's rights to initiate separate legal proceedings or any other action as deem appropriate by the Bank.
4. We agree and accept that the Bank, at its sole discretion, may reject/accept the User’s request at any processing stage under the Virtual Account Collection facility.
5. We understand that the Bank reserves the right to provide the Cash Management Service under Virtual Account Collection facility based on certain parameters and eligibility criteria as per the internal policies of the Bank.
6. We hereby understand and agree that it is our responsibility to obtain, read and understand the Terms and Conditions related to Axis Bank Cash Management Service under the Virtual Account Collection facility and hereby
undertake to abide by the said Terms and Conditions, as may be in force from time to time.
7. We understand and agree that use of the Bank’s Cash Management Services under Virtual Account Collection facility shall be deemed to be an unconditional and irrevocable acceptance of the said Terms and Conditions.
8. We agree to pay any charges/fees stipulated by the Bank from time to time and intimated through appropriate correspondence. The Bank reserves the rights to directly/indirectly verify all the information provided at the

9. We further agree to accept information about new products, services and features introduced or offered by the Bank from time to time via phone/email/SMS/direct communication from a bank official.
10. We agree and understand that for the Bank’s Cash Management Services availed under Virtual Account Collection facility, the funds will be settled on same day (T day) which may not be as per standard timelines
under RBI RTGS/NEFT/IMPS fund settlement norms.
ANNEXURE 3 - Service Requests
1. Mobile Number Updation: Mobile Number can be updated in the Bank records for sending any communication related to the accounts as well as transaction advice. The User also authorizes the Bank to contact them on the updated number
for doing verification, call backs or checks to confirm the veracity of any transaction, as deemed fit by the Bank. The User confirms that the mobile number is provided by them and is not used by any third party. The User undertakes
that they shall duly and promptly inform the Bank if and when mobile number is changed.
2. Scheme Code conversion: The User has read and understood the features and the charge structure associated with the new scheme code selected and the same will be applicable from next charge cycle which is applicable from
1st of the subsequent month.
3. E-Mail ID Updation: E-mail id can be updated at account level. The account statement and communications from the Bank would be sent on this registered E-Mail ID. The User is fully aware that basis the updation of email
id, physical statement would be discontinued by the Bank.
4. Cheque Book Request*:
The User can request for issue of the cheque book. For dispatch of cheque book to the address other than registered address of the User, courier charges, as mentioned in the schedule of charges and updated on the website from time
to time, will be borne by the User.
Transaction Processing (As and when introduced by the Bank)
- All the requests for instantaneous financial transactions will be given effect instantaneously.
- The User shall not hold the Bank responsible for not processing/affecting any transaction in case the Bank does not receive instruction to this effect even though the User has forwarded the same.
- The User agrees to pay cheque book charges as applicable and the same will be deducted from his/her account
[* Applicable as and when these facilities are introduced by the Bank.]
ANNEXURE 4 – Grab Deals T&C
These terms and conditions (“Terms”) shall be applicable to User (as defined hereinafter) participating in the Offer (as defined hereinafter) who agrees to be bound by the same and shall regulate the provisions of the specified
products and services provided by the Axis Bank (“Axis Bank”). Participation in this offer is voluntary. Any User participating in the Offer shall be deemed to have read, understood and accepted these terms and conditions
and these Terms shall be in addition to and not in derogation of other applicable terms and conditions of any account or any other facility/services offered by the Bank and/or such other terms and conditions as may be specified
by the Bank.
Axis Bank Grab Deals is a platform only for display of offers extended by Affiliate/(s) to the User/(s). Axis Bank is hosting the Grab Deals platform purely for the convenience of its Users to display the offers extended by Affiliate/(s)
to the User/(s) . The products/services are being offered solely by the Affiliate/(s) and Axis Bank is not selling/rendering any of these products/services. Axis Bank is not undertaking the business of B2B or on-line retail trading
or shopping by hosting the Grab Deals platform. Axis Bank will not earn any commission or any other fee upon its User/(s) viewing the offers made available by the Affiliate/(s) or purchasing/ availing of a product/service offered
by the Affiliate/(s), except the customary considerations for use of credit card/debit cards/net banking facility. The User/(s) is free to purchase/avail them from any other stores/online platforms and by using any other payment
mechanism. Axis Bank is merely facilitating the payment to its User/(s) by providing the Payment Gateway Services. By hosting the Grab Deals platform, Axis Bank is neither guaranteeing nor giving any warranty nor making any representation
with respect to the offers made by the Affiliate/(s). Axis Bank is neither endorsing the Affiliate/(s) or any product/service nor is it responsible for sale/quality/features of the products/ services under the Offer/Discounts.
Any Information on the Axis Bank Grab Deals website (or the section thereof to which you will be directed) whether about the the Affiliate/(s)t or the products/services being offered have not been verified by Axis Bank. Axis Bank

Cashback*/Discount Offer Terms and Conditions:
- The offer is valid only for Axis Bank account holders and Axis Bank credit card holders.
- Discounts % is valid for Axis bank CA holders.
- This offer is applicable to the User only if the User had transacted using the Axis Bank credit or debit card (specified by the user at the authentication page) on the affiliate’s site. If the User had transacted using any other
card (other than the one which was specified by the User at the authentication page), the cashback/reward points will not be applicable.
- Offer valid only for Axis retail customers. Any transaction done via businesses/ business correspondents or suspicious transactions shall not be eligible.
- The maximum cashback that the User can get by transacting via Grab Deals platform is Rs. 1000/- per account/credit card per calendar month.
- The cashback will be credited to User’s original mode of payment (debit or credit card) within 90 to 120 days from the date of transaction.
- Cashback is calculated on base price of the product excluding taxes
- The offer will be applicable only for one mobile phone purchased (per debit or credit card), on any Affiliate. This offer is not applicable to the second mobile purchased in that calendar month. In case the User purchases two mobile
phones via Grab Deals platform, the offer will be applicable only for the first mobile purchased (across all Affiliates).
- By participating in this Offer, User agrees to be bound by the terms & conditions of this Offer including any other applicable terms & conditions modified and prescribed by Axis Bank from time to time. Any such participation
by the user shall imply that the User has read, understood and accepted these Terms and Conditions hereunder.
- Cashbacks on Axis Bank Debit & Credit cards is only on items added to cart on the Affiliates immediately after landing from the Axis Bank Grab Deals. The offer will NOT be applicable on items that were already in the User’s
cart (added during a previous session) but need to be added post landing from the Axis Bank Grab Deals platform only.
- The Offer will not be applicable for topping up Amazon Pay Balance, purchase of Amazon Prime, Audible Music memberships, Flight & Movie ticket Bookings, Bill Payments & Recharges, and Gold & Silver coins via Grab Deals
platform.
- This Offer is non-transferrable to any other person and cannot be exchanged with any other offer.
- This Offer is not transferable, non-assignable, and non-negotiable and cannot be en-cashed
- This Offer is only valid for User/(s) who are Indian citizens
- This Offer is not applicable for Non Resident Indian customers on their NRE account Debit Card
- This Offer is only applicable on primary credit cards and not on add-on credit cards
- Axis Bank reserves the right to disqualify the User from the benefits of the Offer if any fraudulent activity is identified as being carried out for the purpose of availing the benefits under the Offer or otherwise for any reason whatsoever.
In case of any fraudulent activity, for the purpose of availing the benefits under the Offer, necessary action will be taken by the Bank. Please note Bank’s discretion in this regard shall be final and binding.

Vernost may take various steps to verify and confirm the authenticity, enforceability and validity of orders placed by you.
- Grab Deals reserves the right to introduce new products and replace the existing ones at any point in time without prior intimation to the member.
- Clubbing of this Offer with any other cashbacks/reward points/discounts (existing or new) is at bank’s discretion. Axis Bank reserves the right to add or remove any such cashback/reward points/discounts along with this offer.
- The User/(s) agrees to indemnify and keep Axis Bank indemnified for any loss or damage that Axis Bank may suffer with respect to the Offer including but not limited to any fraudulent and/or illegal transaction or any misrepresentation

- In the event of any conflict or inconsistency regarding any instructions and conditions on any advertising or promotional material relating to the Offer, these Terms and Conditions shall prevail over all such other instructions and

- The offer is not transferable, non-negotiable and cannot be en-cashed.
- Incomplete / rejected / invalid / returned /disputed or unauthorized/fraudulent transactions will not be considered for the offer.
- Axis Bank will not be responsible or liable in case the offer is not configured or could not be availed due to malfunction, delay, traffic congestion on any telephone network or line, computer on-line system, servers or providers,
computer equipment, software, or website.
- The participation in the offer is entirely voluntary and it is understood, that the participation by the Cardholders shall be deemed to have been made on a voluntary basis.

- These Terms and Conditions shall be governed by the laws of India. The courts at Mumbai shall have the exclusive jurisdiction in respect of any disputes with respect to all the subject matter with relation to the Offer.
